Case Study
Client: A former shareholder of a family company in bankruptcy.
Issue: Clients family company was liquidated in bankruptcy,
and he created a new company to continue the business. He and the
new company were sued by an unpaid multi-million dollar creditor
of the old company, who alleged that they were liable as successors
for the old debt.
Solution: Having lost twice at the trial court level by
its two former law firms, the client turned to us for relief. We
prepared and filed a well-supported and well-argued memorandum of
law to convince the trial court to dismiss the lawsuit, which it
did.
Result: On appeal to the United States Sixth Circuit Court
of Appeals, the dismissal of the case was affirmed and the Courts
published decision now stands as important legal precedent on the
issue of whether a successor company can be held liable for the
debts of the predecessor company.
