Todd A. Broski focuses his practice on corporate law and transactional matters and securities
and business litigation. Mr. Broski represents private and closely held businesses in transaction matters, including asset, stock and real estate acquisitions, corporate governance and private
placement of securities, as well as securities broker-dealers, banks and financial institutions in complex business disputes.
He is a member of the Cleveland Bar Association.
Representative Experience
- Represented real estate developer in site selection, acquisition,
land use approval process and development in connection
with multiple hotel projects.
- Represented a federal savings bank in the favorable resolution
of a complex business dispute involving financing of a multi-million
dollar downtown Cleveland, Ohio office building and hotel
project.
- Represented a privately held Cleveland-area company in
defense of a multi-million dollar successor liability lawsuit
in Federal District Court and successfully obtained summary
judgment and a decision from the Sixth Circuit Court of
Appeals affirming the judgment.
- Represented a privately held Cleveland-area company in
a merger with a subsidiary of a national, publicly owned
company.
- Represented multiple business entities at all stages of
their operations, including entity selection and formation,
equity investment and on-going corporate organization, management
and control issues.
- Represented multiple securities broker-dealer and registered
representatives in all phases of regulatory litigation,
including NASD and NYSE arbitration proceedings.
